TERMS AND CONDITIONS

Numblio, headquartered in Limburg, Netherlands, (referred to as "we", "us", or "our"), values the privacy and rights of the visitors and customers (hereafter "you", "customers") of https://numblio.com (referred to as "the website"), especially with regard to the automated processing of personal data.

1. Applicability of Terms and Conditions

1.1: These terms apply to all quotes, offers, agreements, and deliveries of services or products by Numblio.

1.2: Any deviation from these terms must be explicitly agreed upon in writing by both Numblio and the customer.

2. Prices, Offers, and Quotes

2.1: Prices mentioned on the website, invoices, or offers are exclusive of VAT, setup fees, or other applicable charges unless stated otherwise.

2.2: Numblio reserves the right to change prices and will notify the customer accordingly. The customer can terminate the service within 15 days of notification if they do not agree.

2.3: Numblio retains the right to adjust prices or terminate services if supplier costs increase.

2.4: Offers are non-binding unless otherwise stated and have a limited validity. After the validity period, the offer expires.

2.5: Offers and quotes are not automatically applicable to subsequent orders unless explicitly agreed.

3. Payment

3.1: Invoices for services include VAT and setup fees unless stated otherwise.

3.2: In case of late payment, the customer is in default, and Numblio may suspend the service and charge additional costs.

3.3: If the customer refuses cooperation in performing the agreed service, they are still obligated to pay the agreed amount.

3.4: Numblio may engage a collection agency if payment is not made.

3.5: If payment is overdue for more than seven days, Numblio reserves the right to cancel the service and remove associated data.

4. Cancellation and Refunds

4.1: Once a service is delivered, the right to cancel is void.

4.2: Refunds are only issued if the service is not received within three days or if the service is deemed unusable, at the discretion of Numblio.

4.3: If the service is unusable, the customer may receive compensation for unused days or an extension of the billing period.

5. Termination

5.1: The customer may terminate the service at any time unless otherwise stated.

5.2: Termination must be done through the customer portal unless agreed otherwise in writing.

5.3: Numblio is not obligated to provide a refund or compensation upon termination.

5.4: Numblio is not liable for any data loss or damage resulting from termination.

5.5: Outstanding payments remain due even after termination.

5.6: Numblio may cancel the service in case of conflicts with the customer, suppliers, or third parties.

5.7: Upon cancellation, all data related to the service will be removed, and Numblio is not responsible for data loss.

6. Liability and Data Loss

6.1: Numblio is not liable for damages or data loss outside of its control.

6.2: Numblio is not responsible for damages or data loss during the provision of services unless caused intentionally.

6.3: Numblio's liability is limited to its contribution to the damage or data loss.

7. Force Majeure

7.1: Numblio is not responsible for damages caused by force majeure.

7.2: Force majeure includes, but is not limited to, circumstances such as illness, war, civil unrest, sabotage, energy failure, floods, earthquakes, fire, strikes, and transportation issues.

7.3: Numblio is not obligated to deliver services during a force majeure event and may delay delivery.

7.4: If force majeure lasts longer than 30 days, either party may terminate the agreement.

8. Maintenance and Downtime

8.1: Numblio may perform maintenance as deemed necessary and will communicate this clearly.

8.2: Planned maintenance may exceed scheduled times, which will be indicated without a guaranteed duration.

8.3: Unplanned maintenance will be announced up to 12 hours in advance.

8.4: Numblio is not liable for compensation during maintenance periods.

8.5: Numblio is not responsible for downtime, except in cases of extended outages beyond 48 hours as described in article 4.3.

9. Illegal Activities

9.1: Using the service for illegal activities is prohibited.

9.2: Illegal activities include anything deemed unlawful under Dutch law.

9.3: Numblio may charge fees if services are used for illegal purposes.

9.4: Numblio may immediately terminate services used for illegal activities, depending on the severity.

10. Backups

10.1: Numblio makes irregular backups of the servers.

10.2: Customers are responsible for creating backups of their own services.

11. Support Availability

11.1: Support is provided during office hours unless stated otherwise.

11.2: Numblio is not obligated to provide support for third-party services or applications.

11.3: After-hours support is available for critical network and server issues.

11.4: After-hours support is provided via the Network Operations Center (NOC) and may incur additional charges.

11.5: For urgent issues, customers can contact us by phone using the number on our website.

11.6: Urgent issues are those directly impacting Numblio or the customer.

11.7: To call after hours, a NOC ticket must be submitted first.

11.8: Misuse of the emergency line may result in charges.

12. Governing Law and Jurisdiction

12.1: Dutch law applies to every agreement.

12.2: The court in the district where Numblio is located has exclusive jurisdiction in disputes unless otherwise required by law.

12.3: The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

12.4: If any provision of these terms is deemed unreasonably burdensome, the remaining provisions remain in effect.

13. Amendments to Terms and Conditions

13.1: Numblio reserves the right to amend these terms.

13.2: Amendments will take effect 14 days after notification to the customers.
